Subject and Structure of the Terms

​

These subscription terms (the “Terms”) sets forth the terms for your purchase of a subscription to Barons English online language learning service (the “Subscription”). These Terms and the attached payment plan (the “Payment Plan”) define the business relationship between you and Barons English with respect to the Subscription for the use of Barons English online language learning service (“Barons English Services”, the “Service” or the “Site”). In addition, you are bound by the Acceptable Use Policy on tBarons English  website.

By purchasing a gift subscription from, or subscribing to Barons English, you agree, without qualification, to be bound by the Terms as set out below.

Duration of the Subscription

The term of your Subscription is as per the Payment Plan.

Fees and Payment

​

Some materials and features of Barons English Site are available only through the purchase of a Subscription. You are responsible for any charges associated with the connection to the Site. Barons English reserves the right to change the subscription rates at any time or to set up new rates, upon notice posted on the Site and sent by email to its members in advance and, if applicable, communicate how to accept those changes. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, you accept the new price by continuing to use the Service after the price change takes effect. If you do not agree with a price change, you have the right to reject the change by unsubscribing from the Paid Subscription prior to the price change going into effect.

The purchase details of your current course are always available through the “Account Settings” section of Barons English Site and through the Payment Plan that you received when you purchased the course (including details on the payment plan and of the cancellation policy).

If your Subscription contains teacher-led classes, whether group or private, those sessions are delivered on a “use them or lose them basis”, this means that if you haven’t used those sessions by the end of your subscription, those unused sessions are lost to you and will not be refunded. If your paid subscription is a monthly recurring subscription, your teacher-led sessions will expire at the end of each month as described above.

Trials

 

From time to time, we may offer trials of Subscriptions for a specified period without payment or at a reduced rate (a “Trial”). Barons English may determine your eligibility for a Trial, and withdraw or modify a Trial at any time without prior notice and with no liability, to the extent permitted under applicable law.

For some Trials, we’ll require you to provide your payment details to start the Trial. By providing such details you agree that we may automatically begin charging you for the Subscription on the first day following the end of the Trial on a recurring monthly basis or another interval that we disclose to you in advance. IF YOU DO NOT WANT THIS CHARGE, YOU MUST CANCEL THE APPLICABLE SUBSCRIPTION BEFORE THE END OF THE TRIAL.

Cooling-off

 

If you reside in a country which is part of the European Union and have purchased a Subscription online or via phone, you have the right to change your mind and receive a full refund within fourteen (14) days of purchase (the “Cooling-off Period”), but only if you have not consumed more than one (1) conversation class (Private or Group).

 

Renewal; Cancellation

 

Unless your Subscription has been purchased for a fixed period, your payment to us will automatically renew at the end of the applicable subscription period, unless you cancel your Subscription before the end of the then-current subscription period. If you wish to cancel your subscription, you must inform us of your intent with at least 48 hours before your next month’s renewal date begins to avoid being charged. The cancellation will take effect the day after the last day of the current subscription period. If you cancel your Subscription after the Cooling-off Period is over (where applicable), or before the end of the current subscription period, we will not refund any subscription fees already paid to us. If you wish to receive a full refund of all monies paid to Barons English before the Cooling-off Period is over, you must contact Customer Support. When we process any refund, we will refund amounts using the method you used for payment.

Booking and Cancelling Private Lessons

 

Private lessons can be scheduled by the student twenty four (24) hours a day, seven (7) days a week, provided that the booking is made at least one (1) business days in advance of the private lesson. Private lessons begin every hour on the hour. Any requests to cancel a particular lesson must be received no later than two (2) business days before the day of that lesson. You can do this through in Barons English platform. Any lesson booked by a student and for which the student has not attended for ten (10) minutes after the scheduled time will be considered abandoned and will still be deducted from his/her private teacher allocation. Group coaching calls are provided for each private teacher student that requires it. They may attend more anytime and more than once. The group coaching calls are scheduled at various times throughout the week. Please log into your account to check the times of the next group coaching call. A private one-to-one coaching call is available at an extra cost and can be booked during your welcome call.

By accepting these Terms you also accept to be bound by the Acceptable Use Policy found on Barons English website.

 

Changes to these Terms

 

Barons English may at our discretion, make changes to these Terms. When we make changes to these Terms that we consider material, we will notify you through the Service. By continuing to use the Service after those changes are made, you are expressing and acknowledging your acceptance of the changes. Your recourse upon dissatisfaction with the modified terms of use is to cancel your or Subscription in accordance with these Terms.

Limitation and Indemnification

 

You agree that, to the extent permitted by applicable law, your sole and exclusive remedy for any problems or dissatisfaction with the Service or third party applications is to uninstall any Barons English software and to stop using the Service.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL BARONS ENGLISH, ITS OFFICERS, SHAREHOLDERS, EMPLOYEES, AGENTS, DIRECTORS, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, SUPPLIERS OR LICENSORS BE LIABLE FOR (i) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL (INCLUDING LOSS OF USE, DATA, BUSINESS, OR PROFITS) DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE, THIRD PARTY APPLICATIONS OR THIRD PARTY APPLICATION CONTENT, REGARDLESS OF LEGAL THEORY, WITHOUT REGARD TO WHETHER EF LLS HAS BEEN WARNED OF THE POSSIBILITY OF THOSE DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE; (ii) AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, THIRD PARTY APPLICATIONS OR THIRD PARTY APPLICATION CONTENT MORE THAN THE AMOUNTS PAID BY YOU TO THE COMPANY DURING THE PRIOR THREE MONTHS IN QUESTION.

Nothing in these Terms removes or limits Barons English’s liability for fraud, fraudulent misrepresentation, death or personal injury caused by its negligence to the extent permitted by law.

You agree to indemnify, defend and hold harmless Barons English and its affiliates, partners, suppliers, and employees from any and all liability, claims, costs, or damages arising from your use of Barons English or the Services or your breach of these Terms.

Miscellaneous

 

You are responsible for any charges associated with the connection to the Site.

​

Barons English may assign the Terms or any part of it without restrictions. You may not assign the Terms, or transfer or sub-license your rights under this license, to any third party.

​

Should any provision of the Terms be held invalid or unenforceable for any reason or to any extent, such invalidity or enforceability shall not in any manner affect or render invalid or unenforceable the remaining provisions of the Terms, and the application of that provision shall be enforced to the extent permitted by law.

​

Unless otherwise agreed or required by a mandatory law, these Terms are subject to the laws of the UK, without regard to choice or conflicts of law principles. Further, you and Barons English agree to the exclusive jurisdiction of the courts of the UK to resolve any dispute, claim or controversy that arises in connection with these Terms. The European Commission provides for an online dispute resolution platform, which you can access here: http://ec.europa.eu/consumers/odr/. If you would like to bring a matter to our attention, please contact us.

You agree that if Barons English does not exercise or enforce any legal right or remedy which is contained in the Terms (or which Barons English has the benefit of under any applicable law), this will not be taken to be a formal waiver of Barons English’s rights and that those rights or remedies will still be available to Barons English.

All covenants, agreements, representations and warranties made in these Terms shall survive the termination of these Terms.
